1. Payment Terms:
   Standard payment terms are 1% 10, Net 30 days, subject to credit approval. Otherwise,
   payment is due with order and/or prior to shipment. Credit card payments are subject to a
   3.5% processing fee. A service charge of 1.5% per month will be applied to past-due
   balances. Returned checks are subject to a $35.00 fee per check.
2. Terms Supersede Customer POs:
   All quotations, acknowledgments, and invoices issued by MJM Manufacturing, Inc. (“MJM”)
   are expressly subject to these Terms and Conditions. These terms supersede any conflicting
   terms and conditions contained in a customer’s purchase order, blanket order, or other
   documentation, unless such differing terms are clearly stated within the body of the
   purchase order (not attached or referenced externally), and are explicitly acknowledged
   and accepted in writing by an authorized representative of MJM. The act of issuing a
   purchase order to MJM constitutes acceptance of these Terms and Conditions in full.
3. Warranty and Build-to-Order Limitation:
   MJM is a make-to-order precision sheet metal and machining fabricator, manufacturing
   solely based on customer-supplied drawings and specifications. MJM warrants only that
   parts will conform to those provided specifications. No long-term, implied, or extended
   warranties, including but not limited to merchantability or fitness for a particular purpose,
   are provided unless specifically agreed to in writing by MJM.
4. Limitation of Liability:
   In the event of a dispute, MJM’s maximum liability shall be limited to the total dollar amount
   of the purchase order in question. MJM shall not be liable for any consequential, incidental,
   indirect, or special damages including, but not limited to, lost profits, delays, penalties, or
   damages arising from business interruption, whether foreseeable or not.
5. Intellectual Property:
   All blueprints, CAD files, or solid models developed by MJM shall remain the property of
   MJM unless such documentation was originally provided by the customer.
6. Pricing Validity & Material Costs:
   Quoted prices are valid for 90 days from the date of quotation. All material prices are based
   on current market conditions and may change without notice.
7. Overruns:
   MJM reserves the right to ship up to 5% over the quantity ordered, unless otherwise
   specified and agreed to in writing.
8. Claims and Rejections:
   All claims for non-conforming parts must be made within forty-five (45) days of receipt. No
   returns will be accepted without prior authorization and issuance of a Return Material
   Authorization (RMA) number from MJM. MJM reserves the right to repair or replace
   defective parts at its discretion. Unauthorized repair costs will not be reimbursed. MJM
   accepts no responsibility for contingent or incidental damages.
9. Tooling & Fixtures:
   Tooling, silkscreens, and engineering fixtures remain the property of MJM unless otherwise
   agreed upon in writing. MJM reserves the right to dispose of any tooling that has not been
   used in two (2) or more years. Inactive tooling may also be disposed of after three (3) years
   of inactivity, unless otherwise notified in writing by the customer.
10. Delivery Dates & Force Majeure:
    Quoted delivery dates are approximate and subject to delays due to strikes, fires, weather
    events, government actions, or other causes beyond MJM’s control. MJM shall not be liable
    for damages resulting from delayed deliveries.
11. Taxes & Insurance:
    Any applicable federal, state, or local taxes are the responsibility of the customer unless a
    valid resale certificate is on file with MJM. Customer’s materials, dies, or tooling are not
    insured by MJM unless explicitly requested and added to the order at the customer’s
    expense. MJM assumes no liability for damage or loss due to fire or other casualties beyond
    its control.
12. Errors:
    MJM reserves the right to correct typographical or clerical errors in quotations, orders, or
    invoices.
13. Order Acceptance:
    Acceptance of any customer purchase order is expressly conditional upon these Terms and
    Conditions and any specific quotation details provided by MJM. Any changes to the order or
    terms must be agreed to in writing and acknowledged by MJM to be valid.
14. Legal & Collection Fees:
    If MJM is required to engage legal counsel to collect unpaid balances, the customer agrees to
    pay all costs of collection, including reasonable attorney’s fees. All disputes shall be
    governed by the laws of the State of Florida.
15. Shipping Terms:
    All shipments are F.O.B. MJM Manufacturing, Inc., Miami Lakes, FL.
16. Confidentiality Notice:
    All quotations and communications from MJM, including this document and any
    attachments, are confidential and intended solely for the recipient named. If you are not the
    intended recipient, you are hereby notified that any review, dissemination, or duplication is
    prohibited. If received in error, please notify MJM immediately at (305) 620-2020 or by
